Effective date: May 29, 2026
This Image Licensing Agreement is a binding agreement between Jason Reynolds Art, the owner or authorized licensor of the photographic work, and any person or entity that purchases, downloads, receives, accesses, publishes, displays, reproduces, distributes, or otherwise uses an image supplied by Jason Reynolds Art.
By using any licensed image, you agree to this agreement. If you are using an image on behalf of a company, publication, agency, client, employer, or other organization, you represent that you have authority to bind that organization to this agreement.
1. Licensed Work
The “Licensed Work” means each photograph, image file, digital file, print scan, crop, preview, proof, derivative file, or related visual asset supplied or made available by Jason Reynolds Art, whether delivered through this website, email, file transfer, invoice, gallery, written approval, or another delivery method.
2. License Grant
Subject to payment in full and compliance with this agreement, Jason Reynolds Art grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Licensed Work only for the specific use, project, media, territory, duration, placement, quantity, and client identified in the applicable invoice, estimate, written approval, or order record.
If no separate written use terms are provided, the default license is limited to one-time, non-exclusive use by the named licensee for the approved project only. No advertising, merchandise, resale, template, stock, artificial intelligence, or third-party distribution rights are included unless expressly stated in writing.
3. Rights Reserved
Jason Reynolds Art retains all copyrights, ownership rights, moral rights, portfolio rights, and all other rights in and to the Licensed Work. No copyright, title, or ownership interest is sold, assigned, transferred, or waived. All rights not expressly granted are reserved.
4. Prohibited Uses
You may not use, copy, publish, alter, distribute, sell, license, assign, transfer, upload, display, or exploit the Licensed Work except as expressly allowed. Without prior written permission, you may not:
- Use the Licensed Work for advertising, paid promotion, product packaging, merchandise, resale goods, templates, stock libraries, NFTs, blockchain assets, or print-on-demand products.
- Use the Licensed Work in any defamatory, pornographic, unlawful, misleading, political endorsement, hate-based, discriminatory, or otherwise harmful context.
- Use the Licensed Work in a way that suggests sponsorship, endorsement, affiliation, or approval by Jason Reynolds Art or by any person, brand, property, venue, artwork, or subject appearing in the image.
- Remove, alter, crop out, obscure, or falsify copyright notices, metadata, attribution, watermarks, embedded information, or source identifiers.
- Register, claim ownership of, trademark, copyright, or otherwise assert exclusive rights in the Licensed Work or any substantially similar derivative work.
- Upload, feed, train, validate, fine-tune, prompt, scrape, index, or otherwise use the Licensed Work in connection with artificial intelligence systems, machine learning models, generative tools, dataset creation, facial recognition, biometric analysis, or automated content systems.
5. Alterations
You may make only ordinary technical adjustments required for the approved use, such as proportionate resizing, minor cropping, file conversion, compression, and standard color correction. You may not materially alter the meaning, context, subject, integrity, or appearance of the Licensed Work without prior written permission.
6. Attribution
Unless waived in writing, credit must appear in a reasonable location and read: Image © Jason Reynolds Art or Photo: Jason Reynolds Art. Online uses should include a link to jasonreynoldsart.com when technically practical.
7. Releases and Third-Party Rights
Unless expressly stated in writing, Jason Reynolds Art does not represent that model releases, property releases, trademark permissions, location permissions, artwork permissions, or other third-party clearances have been obtained. You are responsible for determining whether your intended use requires any additional permission, clearance, consent, or legal review.
8. Payment and Delivery
No license is effective until all required fees are paid in full, unless Jason Reynolds Art expressly agrees otherwise in writing. Delivery of a file, preview, proof, invoice, download link, or access credential does not waive payment requirements or expand the license granted.
9. Purchases Through SmugMug
Some prints, products, and downloads may be offered through SmugMug or its approved print vendors. Purchases made through SmugMug are also subject to SmugMug’s applicable terms, checkout policies, vendor fulfillment terms, shipping terms, return policies, and support procedures.
Purchasing a physical print, product, or personal-use download through SmugMug does not transfer copyright ownership and does not grant commercial, editorial, advertising, resale, publication, distribution, artificial intelligence, stock, merchandise, or sublicensing rights unless those rights are expressly granted in a separate written license from Jason Reynolds Art.
SmugMug and its vendors may handle checkout, payment processing, printing, packaging, shipping, taxes, fulfillment, and certain customer-service matters for orders placed through SmugMug. Jason Reynolds Art retains copyright and all rights not expressly licensed in writing.
10. Copies and Storage
You may make a reasonable number of internal backup copies solely as necessary for the approved use. You must use reasonable care to prevent unauthorized access, copying, sharing, publication, or distribution. Upon expiration, termination, or completion of the licensed use, you must stop using the Licensed Work and remove it from active publication unless continued use is expressly permitted in writing.
11. Termination
This license terminates automatically if you breach this agreement, fail to pay required fees, exceed the approved scope, or use the Licensed Work in an unauthorized manner. Upon termination, you must immediately stop all use, remove the Licensed Work from publication and distribution, delete or return files upon request, and confirm compliance in writing. Termination does not limit any remedies available to Jason Reynolds Art.
12. Unauthorized Use
Unauthorized use of the Licensed Work may constitute copyright infringement and breach of contract. You agree that Jason Reynolds Art may seek payment, licensing fees, retroactive usage fees, damages, injunctive relief, attorneys’ fees where available, and any other remedies allowed by law or equity.
13. No Warranty
The Licensed Work is provided “as is.” Jason Reynolds Art disclaims all warranties not expressly stated in writing, including implied warranties of merchantability, fitness for a particular purpose, non-infringement arising from your use, and suitability for a specific publication, campaign, product, or jurisdiction.
14. Limitation of Liability
To the maximum extent permitted by law, Jason Reynolds Art will not be liable for indirect, incidental, consequential, special, punitive, exemplary, or lost-profit damages arising from the Licensed Work or this agreement. Jason Reynolds Art’s total liability will not exceed the amount actually paid for the specific Licensed Work giving rise to the claim.
15. Indemnification
You agree to defend, indemnify, and hold harmless Jason Reynolds Art from and against claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising from your use of the Licensed Work, your breach of this agreement, your failure to obtain required third-party permissions, or materials and contexts in which you place the Licensed Work.
16. Governing Law and Venue
This agreement is governed by the laws of the State of Washington and applicable United States copyright law, without regard to conflict-of-law rules. Any dispute must be brought in a court of competent jurisdiction located in Washington, unless Jason Reynolds Art elects another legally available forum for enforcement of intellectual property rights.
17. Conflicts and Written Amendments
If a signed written agreement or paid invoice issued by Jason Reynolds Art grants narrower or broader rights for a specific image, that document controls only for the specific image and use it identifies. Any waiver, amendment, expansion, or transfer of rights must be in writing and approved by Jason Reynolds Art.
18. Severability
If any part of this agreement is found unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be interpreted as closely as possible to its original intent.
Jason Reynolds Art reserves all rights.
